Counsel Opinion. GDB shall have received the favorable written opinion of counsel to the Borrowers, of counsel to the Partnership and of counsel to the Guarantors, each dated the date of this Agreement, and in form and substance satisfactory to GDB and its counsel, with respect to such matters as GDB may reasonably require.

  • Certified counselor means an individual who is certified by a training program or certifying organization, approved by the director, that authenticates the competence of individuals who provide education and assistance to other individuals in connection with debt counseling and financial counseling functions.

  • Senior Counsel means a legal practitioner appointed by the President as a Senior Counsel of Namibia in terms of section 79(3) of the Legal Practitioners Act, 1995 (Act No. 15 of 1995).
