Examples of Benchmark Unavailability Period in a sentence
The Administrator will notify the Seller of (x) the removal or reinstatement of any tenor of a Benchmark pursuant to Section 1.21(d) and (y) the commencement of any Benchmark Unavailability Period.
During a Benchmark Unavailability Period or at any time that a tenor for the then-current Benchmark is not an Available Tenor, the component of the Base Rate based upon the then-current Benchmark or such tenor for such Benchmark, as applicable, will not be used in any determination of the Base Rate.
Upon the Seller’s receipt of notice of the commencement of a Benchmark Unavailability Period with respect to a given Benchmark, (A) no Portion of Capital shall be funded at the Alternate Rate determined by reference to Adjusted Term SOFR and (B) the Discount for any outstanding Portions of Capital then funded at the Alternate Rate determined by reference to Adjusted Term SOFR shall be converted to the Alternate Rate determined by reference to the Base Rate.
Upon the Borrower’s receipt of notice of the commencement of a Benchmark Unavailability Period, the Borrower may revoke any pending request for a SOFR Borrowing of, conversion to or continuation of SOFR Loans to be made, converted or continued during any Benchmark Unavailability Period and, failing that, the Borrower will be deemed to have converted any such request into a request for a Borrowing of or conversion to Base Rate Loans.
The Administrative Agent will notify the Borrower of (x) the removal or reinstatement of any tenor of a Benchmark pursuant to Section 2.18(d) and (y) the commencement of any Benchmark Unavailability Period.
