Units shall be designated as “Voting Units” or “Non-Voting Units.” Voting Units shall be entitled to one vote for each outstanding Voting Unit owned by such Member with respect to each matter submitted to a vote of the Members.

The affirmative vote of Members owning or holding at least a majority of the Voting Units at such time which are entitled to vote on the matter shall be the act of the Members, unless the vote of a greater or lesser proportion or number is otherwise required by the Act or by this Agreement.
Except as specifically provided in this Agreement, this Agreement and the Certificate of Organization may be amended by the unanimous written consent of the Voting Members unless the proposed amendment alters the rights or obligations of any Non- Voting Units in a manner that would materially disadvantage such Members.
