Examples of Vote in a sentence
No transferee of a Member’s Membership Interest shall have any rights as a Member or be entitled to Vote on any action or matter or to participate in any meeting of the Members or in the management of the Company, unless and until such transferee is admitted as a Member in accordance with this Agreement.
The Company shall be dissolved only upon Supermajority Board Approval and shall not require any Member Vote or other approval or consent rights.
Other than through the designation of Representatives pursuant to Section 5.1, Members may not Vote by proxy.
A member attending a meeting that wishes to abstain in any Vote on a particular action or matter shall express such abstention in a clear manner for the record, and the secretary designated for purposes of such meeting shall record such abstention with respect to such Vote in the minutes of such meeting.
Unless expressly otherwise provided herein or by Board Approval, a Representative selected to serve in an Officer position shall continue to serve in his or her capacity as a Representative and shall be entitled to Vote as a Representative on all matters on which the Member that designated such Representative is entitled to Vote.
