Timely Notice definition

Timely Notice means a stockholder’s notice to the Secretary of the Corporation which must be delivered to or mailed and received at the principal executive offices of the Corporation not less than ninety (90) days nor more than one hundred twenty (120) days prior to the first anniversary of the preceding year’s annual meeting of stockholders; provided, however, that in the event that the date of the annual meeting is more than thirty (30) days before, or more than sixty (60) days after, such anniversary date, notice by the stockholder to be timely must be so delivered not earlier than the one hundred twentieth (120th) day prior to such annual meeting and not later than the ninetieth (90th) day prior to such annual meeting or, if later, the tenth (10th) day following the day on which the date that such annual meeting was Publicly Disclosed (as defined above).
Timely Notice means a shareholder's notice to the Secretary of the Company not less than sixty (60) days nor more than ninety (90) days prior to the date of the annual meeting of shareholders; provided, however, that in the event that less than seventy (70) days' notice or prior Public Disclosure of the date of the meeting is given to shareholders, notice by the shareholder to be timely must be so received not later than the close of business on the tenth (10th) day following the day on which such notice of the date of the annual meeting was mailed or such public disclosure of the date of the annual meeting was made, whichever first occurs.

More Definitions of Timely Notice

Timely Notice means that the stockholder's notice is delivered to or mailed and received at the principal executive offices of the corporation (A) in the case of an annual meeting, not less than 90 days nor more than 120 days before the first anniversary of the preceding year’s annual meeting; provided, however, that in the event the date of the meeting is more than 30 days before or more than 60 days after such anniversary, the stockholder's notice must be so received not earlier than the close of business on the 120th day before such annual meeting and not later than the close of business on the later of (1) the 90th day before such annual meeting and (2) the tenth day following the day on which public disclosure of the date of the meeting is first made or (B) in the case of a special meeting, not earlier than the 120th day before such special meeting and not later than the close of business on the later of (1) the 90th day before the date of such special meeting and (2) if the first public disclosure of the date of such special meeting is less than 100 days before the date of such special meeting, the tenth day following the day on which public disclosure of the date of the meeting is first made; provided that, in no event shall any adjournment or postponement of an annual or special meeting or the announcement thereof commence a new time period (or extend any time period) for the giving of a stockholder's notice as described above:
