Tender Agent definition

Tender Agent means, with respect to each Group of 2021 Series J Variable Rate Bonds, The Bank of New York Mellon, a New York banking corporation, and its successors and any corporation resulting from or surviving any consolidation or merger to which it or its successors may be a party, or any successor Tender Agent appointed in accordance with the terms of this Supplemental Resolution.

Tender Agent means the Fiscal Agent and any additional Tender Agent appointed by the City.

Tender Agent means The Bank of New York, a New York banking corporation and its successors and any corporation resulting from or surviving any consolidation or merger to which it or its successors may be a party, or any successor Tender Agent appointed in accordance with the terms of the Resolution.

Examples of Tender Agent in a sentence

• The Issuer will not knowingly, and the Borrower will not, lend, contribute, or otherwise advance funds to any Person for the purchase of Series 2022A Bonds tendered for purchase in accordance with Article Five of the Series 2022A Bond Indenture, if such Person would be an Excluded Purchaser if all relevant facts were known to the Bond Trustee and the Tender Agent, and the Issuer shall not purchase any such Series 2022A Bonds.

• Proof of execution of any such instrument or of a writing appointing any such agent shall be sufficient for any purpose of this Series 2022A Loan Agreement and conclusive in favor of the Issuer, the Borrower, the Credit Enhancers, the Liquidity Banks, the Tender Agent, and the Remarketing Agent and (subject to Section 9.01 of the Series 2022A Bond Indenture) in favor of the Bond Trustee, if made in the manner provided in this Section.

Tender Agent means the Trustee.
