The Employee's base salary shall be subject to adjustment as may be determined from time to time in the Board's sole discretion; provided, however, that any decrease in the Employee’s base salary can only be proportionately made in connection with Company-wide reductions in the salary rates for senior management of the Company ("Senior Management") as determined by the Board or the Compensation Committee of the Board (the "Compensation Committee").
