The Company from time to time is to request all third-party vendors to include on screens maintained by such vendors appropriate legends regarding Rule 144A and Section 3(c)(7) restrictions on the Rule 144A Global Notes.
The Certificated Notes are to be registered in the name of the owner or nominee thereof, duly executed by the Company as provided in this Agreement; and the Rule 144A Global Notes are to be (I) registered in the name of the Depository or its nominee, duly executed by the Company as provided in this Agreement, and (II) held by the Paying Agent as custodian for the Depository unless the Depository instructs otherwise.
