Rights Offering Procedures definition

Rights Offering Procedures means the procedures with respect to the Rights Offering that are approved by the Bankruptcy Court pursuant to the Disclosure Statement Order and shall be in form and substance reasonably acceptable to the Debtors and the Required Backstop Parties.
Rights Offering Procedures means those certain rights offering procedures with respect to the Rights Offering, which rights offering procedures shall be set forth in the Rights Offering Documents.
Rights Offering Procedures means the 1145 Rights Offering Procedures and the Accredited Investor Rights Offering Procedures.

  • Each Eligible Subordinated Claimholder that exercised all of its Rights will have the pro rata right (the “Oversubscription Right”) to subscribe for additional Rights Offering Shares at the Common Purchase Price pursuant to the instructions set forth in the Rights Offering Procedures, to the extent that any such shares remain available after exercise of the Rights.

  • If the number of Rights Offering Shares that remain available after exercise of the Rights is not sufficient to satisfy all requests pursuant to the Oversubscription Rights, the Eligible Subordinated Claimholders who exercised their Oversubscription Rights will be allocated additional Rights Offering Shares on a pro rata basis as set forth in the Rights Offering Procedures.

More Definitions of Rights Offering Procedures

Rights Offering Procedures means certain procedures setting forth the terms and conditions of the Rights Offering, in substantially the form annexed hereto as Exhibit 1.
Rights Offering Procedures means the procedures with respect to the Rights Offerings that are approved by the Bankruptcy Court pursuant to the Disclosure Statement Order, which procedures shall be in form and substance substantially as set forth on Exhibit A hereto, as may be modified in a manner that is reasonably acceptable to the Requisite Commitment Parties and the Company.
Rights Offering Procedures means the procedures in form and substance acceptable to the Backstop Parties, the Debtors, the Requisite Consenting Creditors and the Equity Committee (subject to the parties’ rights and obligations under the RSA) for the implementation of the Rights Offering, as approved by the Bankruptcy Court pursuant to the Backstop Order.
Rights Offering Procedures means the procedures for conducting the Rights Offering attached as Exhibit J hereto, with only such amendments, supplements, changes and modifications that (i) if not adverse to any Investor, or if required by the Bankruptcy Court, are reasonably acceptable to Requisite Investors or (ii) if demonstrated by any Investor to be reasonably likely to be adverse to such Investor, are acceptable to Requisite Investors in their sole discretion.
Rights Offering Procedures means the procedures governing the Rights Offering, which procedures are attached as an exhibit to the Disclosure Statement, and shall be reasonably acceptable to the Debtors and the Investor Parties.
