Qualified license means a valid support agreement to include Embedded Maintenance with SAP. Subject to a valid support agreement “Qualified License” End User may consume the Microsoft Azure Data Services identified in the table below in the indicated ratios.

Qualified license means, as of the date of determination, any License covering or adjacent to any geographical area in respect of which the Company or any Restricted Subsidiary owns, as of the Business Day immediately prior to such date of determination, at least one other License covering a substantial portion of such area.

• No Unrestricted Subsidiary shall be a licensee or sublicensee of any IP Rights held by a Loan Party except pursuant to (a) a Qualified License or (b) an Extraordinary IP Rights Transaction that occurs on Arm’s Length Terms for Fair Market Value and is otherwise permitted pursuant to Section 6.12.
