QF Status definition

QF Status as defined in Section 4.26(a).
QF Status means Qualifying Facility status. See “Risk Factors – Regulatory Climate and Permitting Risks – APCo”.
QF Status shall have the meaning set forth in Section 39 hereof entitled “Hot Water and Chilled Water Requirements”.

  • Steam, hot water, and/or chilled water may be resold by Customer to its tenants, provided such tenants occupy the Premises and such resale does not subject Veolia to any new or additional governmental rules, regulations or laws, including but not limited to tax laws, loss of QF Status, or rate of service regulation by any public utility regulatory authority.

  • During the period when the SPP QF Status is deemed to be ineffective, SCE shall not pay Producer for Product.

  • SCE’s Notice shall include an invoice for the refund of payments that were made to Producer during the period between the effective date of the SPP QF Status Change and the date of the last Notice in reliance upon Producer’s representations that the Renewable Generating Facility complied with the SPP QF Requirements and therefore was eligible to sell power to SCE as a result of satisfying the SPP QF Requirements.

More Definitions of QF Status

QF Status has the meaning set forth in Section 4.19(a). “Qualifying Facility” or “QF” means a “qualifying small power production facility” as defined in Section 3(17)(C) of the FPA, 16 U.S.C. § 796(17)(C), and the implementing regulations of FERC at 18 C.F.R. §§ 292.101(b)(1) and 292.203(a). “Qualifying Net Income” means Net Income received by the Acquired Companies during the period commencing at 12:01 a.m. New York local time on January 1, 2023 and ending at the Closing. “Real Property” has the meaning set forth in Section 4.11(a). “Real Property Documents” has the meaning set forth in Section 4.11(c). “Released Claims” has the meaning set forth in Section 10.15. “Released Person” has the meaning set forth in Section 10.15. “Releasing Person” has the meaning set forth in Section 10.15. “Representatives” means, with respect to any Person, such Person’s members, partners, trustees, directors, managers, officers, employees, attorneys, consultants, advisors, representatives and other agents acting on behalf of such Person. “Required Consent” means each Consent set forth on Schedule F. “Right” means any option, warrant, convertible or exchangeable security or other right to subscribe for, purchase or otherwise acquire any Equity Interest, with or without payment of consideration, either immediately or upon the occurrence of a specified date or specified event or the satisfaction of any other condition. “Right of First Offer” has the meaning set forth in Section 2.05(a). “ROFO Notice” has the meaning set forth in Section 2.05(a). “ROFO Notice Date” has the meaning set forth in Section 2.05(a). “ROFO Trigger Event” has the meaning set forth in Section 2.05(a). “SaleCo Reorganization” has the meaning set forth in the recitals hereof.
QF Status means the ownership and operation of a Qualifying Facility consistent with the requirements of Section 201 of PURPA and the rules set forth in 18 C.F.R. Part 292.
QF Status means status as a “qualifying cogeneration facility” within the meaning of 16 U.S.C. § 796 and the regulations of the FERC thereunder, including 18 C.F.R. § 292.205, with all of the exemptions from regulation set forth in 18 C.F.R. Part 292 Subpart F (but for the exemption from Sections 205 and 206 of the FPA).
QF Status shall have the meaning given such term in paragraph (b) of Section 39 hereof.

  • Level IV Status exists at any date if, on such date, (i) the Borrower has not qualified for Level I Status, Level II Status or Level III Status and (ii) the Borrower's Xxxxx'x Rating is Baa3 or better or the Borrower's S&P Rating is BBB- or better.

  • Familial status means the condition of one or more minors being domiciled with:

  • marital status means being single, married as recognized by the state of Connecticut, widowed, separated or divorced;

  • refugee status means the recognition by a Member State of a third-country national or a stateless person as a refugee;

  • Change in Status means any of the events described below, as well as any other events included under subsequent changes to Code section 125 or regulations issued thereunder, which the Plan Administrator, in its sole discretion and on a uniform and consistent basis, determines are permitted under IRS regulations and under this Plan:

  • Deemed status means acceptance of certification or licensure of a program or service by another certifying body in place of certification based on review and evaluation.

  • Active status means (i) for employees, the absence of any interruption or termination of service as an employee, (ii) for Directors, that the Director has not been removed from the Board for cause (as determined by the Company’s shareholders), and (iii) for Consultants, the absence of any interruption, expiration, or termination of such person’s consulting or advisory relationship with the Company or any Subsidiary or the occurrence of any termination event as set forth in such person’s Award Agreement. Active Status shall not be considered interrupted (A) for an employee in the case of sick leave, maternity leave, infant care leave, medical emergency leave, military leave, or any other leave of absence properly taken in accordance with the policies of the Company or any applicable Subsidiary as may be in effect from time to time, and (B) for a Consultant, in the case of any temporary interruption in such person’s availability to provide services to the Company or any Subsidiary which has been granted in writing by an authorized officer of the Company. Whenever a mandatory severance period applies under applicable law with respect to a termination of service as an employee, Active Status shall be considered terminated upon such Employee’s receipt of notice of termination in whatever form prescribed by applicable law.

  • travel status with respect to an employee means absence of the employee from his/her headquarters or geographic location on Justice Institute of British Columbia business with the approval of the Employer, but travel status does not apply to employees temporarily assigned to a position outside of his/her headquarters or geographic location or to field status employees;

  • Health status-related factor means any of the following factors:

  • Inactive status means the status of a practitioner licensed or registered pursuant to Iowa Code chapter 153 who is not currently engaged in the practice of dentistry, dental hygiene, or dental assisting in the state of Iowa and who has paid the required renewal fee but who has not met the requirements for continuing education.

  • Termination of parental rights means the permanent elimination of all parental rights and duties, including residual parental rights and duties, by court order.

  • Ownership Change Event means the occurrence of any of the following with respect to the Company: (i) the direct or indirect sale or exchange in a single or series of related transactions by the stockholders of the Company of securities of the Company representing more than fifty percent (50%) of the total combined voting power of the Company’s then outstanding securities entitled to vote generally in the election of Directors; (ii) a merger or consolidation in which the Company is a party; or (iii) the sale, exchange, or transfer of all or substantially all of the assets of the Company (other than a sale, exchange or transfer to one or more subsidiaries of the Company).

  • Certificate of eligibility means a document issued by the bureau stating that the criminal record and all records of arrest, investigation, and detention associated with a case that is the subject of a petition for expungement is eligible for expungement.
