Proprietary Knowledge definition

Proprietary Knowledge means all digital and tangible proprietary information and materials, including the Confidential Information, owned or used under license by HHC, including and/or incorporating the HHC Training Course and Training Materials, HHCIC materials or postings accessed or obtained from or viewed in the “Healthy Hands Cooking FB Instructor Community”, and any and all materials provided for or used in any HHC class, demonstration, camp, party or other event that uses, displays, contains, or is based upon any portion of HHC IP; in full or in part.
Proprietary Knowledge means any fact or information of any kind whatsoever relating to the Products that are the subject of the Contractual Relationship, irrespective of the medium or form, including strategic information, information on technical developments, data, documents, experience, know-how, methods, tooling designs, processes, specific components or software, whether or not this can be protected under Intellectual Property Rights, that is in the possession of either party prior to the effective date of the Contractual Relationship or that either party may obtain after this date other than as a result of the Contractual Relationship.
Proprietary Knowledge means all technical and/or scientific information and knowledge and/or any other type of information, in any form whatsoever, whether or not protectable by intellectual property right including, but not limited to, expertise, trade secrets, business secrets, data, databases, Software (in particular Basic Software), files, plans, diagrams, drawings, formulas or any other kind of information, in any form whatsoever, along with all resulting rights, necessary or potentially necessary to perform the Project, that each Partner may hold before the Effective Date, and/or develop or obtain, individually or with third parties, but without the Contribution of the other Parties, during the Project but independently of it, as may be proven, and that each Partner agrees to provide to the other Partners for the purposes of this Agreement. Proprietary Knowledge is listed in the appendix to this Agreement, entitled “Proprietary Knowledge”.   • Under this indemnity provision in no event shall HHC be liable for any damages, including, direct, indirect, special, consequential, punitive, or other damages, including loss of profits of any type by anyone, arising from or related to the Prospective Instructor's use or misuse of the Proprietary Knowledge or the termination of this Agreement, even if HHC has notice of the possibility of such damages.

More Definitions of Proprietary Knowledge

Proprietary Knowledge means any kind of information, knowledge, procedures, technologies, including know-how, software, biological material, drawings, chemicals and/or all other types of information, regardless of the medium in which they are stored, as well as all related rights, which belong to one Party or which were in a Party’s possession prior to the effective date of this contract and/or developed or acquired by one Party independently from the performance of this contract. Results: means any kind of information, knowledge, procedures, technologies, including know-how, software, biological material, drawings, chemicals and/or all other types of information, regardless of the medium in which they are stored, as well as all related rights, obtained or developed by the Parties in connection with this contract.
Proprietary Knowledge means any knowledge held or developed by a Party prior to the effective date of the Agreement or acquired in parallel with the Study of any nature and in any form whatsoever, including technical and/or scientific knowledge, experience, know-how, patent, method, tool, process, specific component, biological material, software, whether or not protected or protectable by an intellectual property right and/or title.

Related to Proprietary Knowledge

  • Proprietary means goods or services of a specialized nature, that may be made or marketed by a person or persons having the exclusive right to make or sell them, when the need for such goods or services has been certified in writing by the Board to be necessary for the conduct of its affairs.

  • Best Knowledge means both what a Person knew as well as what the Person should have known had the Person exercised reasonable diligence. When used with respect to a Person other than a natural person, the term "Best Knowledge" shall include matters that are known to the directors and officers of the Person.

  • Knowledge means actual knowledge after reasonable investigation.

  • Proprietary Information shall have the same meaning as Confidential Information.

  • Proprietary school means a school that uses a certain plan or method to teach a trade, occupation, or vocation for a consideration, reward, or promise of any kind. Proprietary school includes, but is not limited to, a private business, trade, or home study school. Proprietary school does not include any of the following:

  • Parent’s Knowledge means the actual knowledge of the individuals set forth in Section 1.1(d) of the Disclosure Schedule.

  • Contractor attributional/proprietary information means information that identifies the contractor(s), whether directly or indirectly, by the grouping of information that can be traced back to the contractor(s) (e.g., program description, facility locations), personally identifiable information, as well as trade secrets, commercial or financial information, or other commercially sensitive information that is not customarily shared outside of the company.

  • Confidential System Information means any communication or record (whether oral, written, electronically stored or transmitted, or in any other form) provided to or made available to Grantee; or that Grantee may create, receive, maintain, use, disclose or have access to on behalf of HHSC or through performance of the Project, which is not designated as Confidential Information in a Data Use Agreement.

  • Secret or “Top Secret”; or  is exempt information as set out in Part 2 of FOISA (disregarding for that purpose whether a provision of Part 2 does not confer absolute exemption within the meaning of section 2(2) of FOISA).

  • Proprietary Rights means all trade secret, patent, copyright, mask work and other intellectual property rights throughout the world.

  • Proprietary Materials means tangible chemical, biological or physical materials (a) that are furnished by or on behalf of one Party to the other Party in connection with this Agreement, whether or not specifically designated as proprietary by the transferring Party or (b) that are otherwise conceived or reduced to practice in the conduct of the Research Collaboration.

  • Business Confidential Information has the meaning set forth in Section 5.04(a).
