Option Closing Date definition

Option Closing Date shall have the meaning ascribed to such term in Section 2.2(c).
Option Closing Date means the date or dates on which any Common Units are sold by the Partnership to the Underwriters upon exercise of the Over-Allotment Option.
Option Closing Date means the date or dates on which any Common Units are sold by the Partnership to the IPO Underwriters upon exercise of the Over-Allotment Option.

The Option Closing Date and the location of delivery of, and the form of payment for, the Optional Units may be varied by agreement between the Company and the Representatives. The Company, the Underwriters and EBC agree that, on the Initial Closing Date, EBC will be paid a fee of $100,000 from the total underwriting discount in consideration for its services and expenses incurred as a QIU, and that EBC will receive no other compensation in the Offering.
