Offering definition

Offering shall have the meaning ascribed to such term in Section 2.1(c).
Offering means the grant to Eligible Employees of Purchase Rights, with the exercise of those Purchase Rights automatically occurring at the end of one or more Purchase Periods. The terms and conditions of an Offering will generally be set forth in the “Offering Documentapproved by the Board for that Offering.

Examples of Offering in a sentence

  • The demand for registration may be made at any time after the expiration of the Lock-Up Period and prior to the fifth (5th) anniversary of the Effective Date or commencement of sales of the Offering in accordance with FINRA Rule 5110(f)(2)(G)(iv).

  • Promptly after the consummation of a Qualified Offering or Change of Control, or if conversion pursuant to Sections 7(b) or 7(c), but in no event more than five (5) Business Days thereafter, the Company shall issue and deliver, or cause to be issued and delivered to Investor, registered in the name of Investor, a certificate for the number of whole Conversion Shares issuable upon the conversion of this Note.

  • Any redemption of Notes (including in connection with an Equity Offering) or notice thereof may, in the Company’s discretion, be subject to satisfaction of one or more conditions precedent, which may include the consummation of any related Equity Offering.

  • The Fund will sell the Offered Shares on a continuous basis at the Offering Price per Offered Share, subject to the adjustments described in or otherwise provided in the Prospectus.


More Definitions of Offering

Offering means the offering by the Company of Class A Ordinary Shares for sale to the public pursuant to Regulation A under the Securities Act of 1933, as amended (the “Act”) or, in any replacement offering of Class A Ordinary Shares, as determined by the Board in the event such Offering shall not proceed for any reason.
Offering means an offer under the Plan of an option that may be exercised during an Offering Period as further described in Section 4. For purposes of the Plan, the Administrator may designate separate Offerings under the Plan (the terms of which need not be identical) in which Eligible Employees of one or more Employers will participate, even if the dates of the applicable Offering Periods of each such Offering are identical and the provisions of the Plan will separately apply to each Offering. To the extent permitted by U.S. Treasury Regulation Section 1.423-2(a)(1), the terms of each Offering need not be identical provided that the terms of the Plan and an Offering together satisfy U.S. Treasury Regulation Section 1.423-2(a)(2) and (a)(3).
Offering means an offer under the Plan of a right to purchase Shares that may be exercised during an Offering Period as further described in Article IV hereof. Unless otherwise specified by the Administrator, each Offering to the Eligible Employees of the Company or a Designated Subsidiary shall be deemed a separate Offering, even if the dates and other terms of the applicable Offering Periods of each such Offering are identical, and the provisions of the Plan will separately apply to each Offering. To the extent permitted by Treas. Reg. § 1.423-2(a)(1), the terms of each separate Offering under the Section 423 Component need not be identical, provided that the terms of the Section 423 Component and an Offering thereunder together satisfy Treas. Reg. § 1.423-2(a)(2) and (a)(3).
