Note Register definition

Note Register shall have the meaning assigned to such term in Section 15.

Note Register and “Note Registrar” have the respective meanings set forth in Section 2.4 of the Indenture.

Examples of Note Register in a sentence

• Where this Indenture provides for notice to Noteholders of any event, such notice shall be sufficiently given (unless otherwise herein expressly provided) if in writing and mailed, first-class, postage prepaid to each Registered Holder affected by such event, at its address as it appears on the Note Register, not later than the latest date, and not earlier than the earliest date, prescribed for the giving of such notice.

• The Class B Notes and the Class C Notes shall be Definitive Notes and shall be registered in the Note Register in the name of the purchaser or purchasers identified in the applicable Note Purchase Agreement.

Note Register shall have the meaning assigned to such term in Section 21.

Note Register. The register maintained by the Note Registrar in which the Note Registrar shall provide for the registration of Notes and of transfers and exchanges of Notes.

Note Register means the Register of Noteholders’ information maintained by the Indenture Trustee or its successor pursuant to Section 2.04 of the Indenture, which register records the name of each registered Holder of a Note.
