Material Default definition

Material Default means any default by the private entity in the performance of its duties under

  • In the event of a termination of this agreement by WPHLI based on a Material Default, WPHLI shall have the right to claim and recover damages from the Owner and such damages shall include, without limitation, loss of the benefit of WPHLI’s bargain hereunder.

  • WPHLI may terminate this agreement, forthwith upon written notice to the Owner, if the Owner commits any single Material Default.


More Definitions of Material Default

Material Default means any breach of a fundamental or essential term or repeated breaches of any of the terms of the agreements, as referred to in section 3.4(e);
