  • In the case of each registration effected by the Purchaser pursuant to SECTION 9.1, the Purchaser shall keep each Seller advised in writing as to the initiation of each registration with respect to LTC Shares held by him and as to the completion thereof.

  • The number of LTC Shares to be issued to Etika shall be equal to the quotient of (a) the Put Option Price, divided by (b) the per share listing price of the LTC Shares.

  • Each Seller is acquiring LTC Shares hereunder for his own account for investment and not with a view to, or for the sale in connection with, any "distribution" of the LTC Shares, as such term is used in Section 2(11) of the Securities Act.

  • The number of LTC Shares to be issued to Geely shall be equal to the quotient of (a) the Put Option Price, divided by (b) the per share listing price of the LTC Shares.

  • Upon exercise by Geely of the Put Option under this Agreement, LGIL hereby agrees to take any and all actions to distribute the LTC Shares held by LGIL on the date of the Put Exercise Notice to Geely such that Geely shall receive Geely’s Pro Rata Share of such number of LTC Shares held by LGIL concurrently with the completion of transactions contemplated under Section 3.3(iv) on the Option Closing Date.

  • The certificates representing LTC Shares issued pursuant to this Agreement shall bear a legend substantially as follows: "THE SHARES REPRESENTED BY THIS CERTIFICATE HAVE NOT BEEN REGISTERED UNDER THE SECURITIES ACT OF 1933 OR ANY APPLICABLE STATE LAW.

  • If LTC Shares owned by a Seller are included in any registration, then such Seller shall furnish the Purchaser with such information regarding itself as the Purchaser may reasonably request or as required by applicable law in connection with any registration qualification or compliance referred to in this Agreement.

Related to LTC SHARES

  • VMTP Shares means Variable Rate MuniFund Term Preferred Shares, $0.00001 par value per share, liquidation preference $100,000 per share plus an amount equal to accumulated but unpaid dividends thereon (whether or not earned or declared), of the Trust. The preferences, voting powers, restrictions, limitations as to dividends, qualifications, and terms and conditions of redemption of each series of VMTP Shares are set forth in the VMTP Shares Statement.

  • Newco Shares means the common shares in the capital of Newco;

  • Exchange Shares has the meaning set forth in Section 2.01(b).

  • H Shares means the overseas-listed foreign invested shares in the share capital of the Company with a nominal value of RMB1.00 each, which are subscribed for and traded in Hong Kong Dollars;

  • ASA Shares has the meaning set forth in 2.4(a).

  • Merger Shares has the meaning set forth in Section 2.2(c).

  • Company Shares means the common shares in the capital of the Company;

  • A Shares means a participating share of no par value in the capital of the Fund, denominated in US Dollars;

  • B Shares means a participating share of no par value in the capital of the Fund, denominated in Euro(s);

  • Amalco Shares means the common shares in the capital of Amalco;

  • Buyer Shares means the common stock, with a par value of $0.0001 per share, of Buyer.

  • Common Shares means the common shares in the capital of the Corporation;

  • Series C Shares means the shares of Fixed Rate Cumulative Perpetual Preferred Stock, Series C, of the Company.

  • Public Shares means the Ordinary Shares included in the Units issued in the Public Offering; (vi) “Trust Account” shall mean the trust account into which a portion of the net proceeds of the Public Offering and the sale of the Private Placement Warrants shall be deposited; (vii) “Transfer” shall mean the (a) sale of, offer to sell, contract or agreement to sell, hypothecate, pledge, grant of any option to purchase or otherwise dispose of or agreement to dispose of, directly or indirectly, or establishment or increase of a put equivalent position or liquidation with respect to or decrease of a call equivalent position within the meaning of Section 16 of the Securities Exchange Act of 1934, as amended, and the rules and regulations of the Commission promulgated thereunder with respect to, any security, (b) entry into any swap or other arrangement that transfers to another, in whole or in part, any of the economic consequences of ownership of any security, whether any such transaction is to be settled by delivery of such securities, in cash or otherwise, or (c) public announcement of any intention to effect any transaction specified in clause (a) or (b); and (viii) “Charter” shall mean the Company’s Amended and Restated Memorandum and Articles of Association, as the same may be amended from time to time.

  • Subco Shares means the common shares in the capital of Subco;
