To the Knowledge of Seller, the Financial Statements present fairly in all material respects the financial position of the Acquired Company as of the dates indicated and the results of operations for the periods then ended, applied on a consistent basis throughout the covered periods, subject, in the case of the Interim Financial Statements, to year-end audit adjustments and the lack of footnotes and other presentation items.
