It is the specific intention of the parties that the Indemnitee shall, in all instances, except for Claims arising solely from the negligent or willful acts or omissions of the Indemnitee, be indemnified by Subcontractor from and against any and all claims.
The Indemnitor shall not enter into any stipulated judgment or settlement that purports to bind the Indemnitee without the Indemnitee’s express written authorization, which shall not be unreasonably withheld or delayed.
Service Provider agrees to indemnify, defend, and hold harmless Indemnitees from and against any and all Claims, including reasonable lawyers fees, costs, and expenses incidental thereto, which may be suffered by, incurred by, accrued against, charged to, or recoverable from any Indemnitee, by reason of any Claim arising out of or relating to the Services infringing or misappropriating any patent, copyright, trade secret, trademark, or other proprietary right.
If any claim, demand, action or cause of action is asserted against any FEDC Indemnitee, such FEDC lndemnitee shall promptly notify Recipient, but the failure to so promptly notify Recipient shall not affect Recipient’s obligations under this Paragraph unless such failure materially prejudices Recipient’s right to participate in the contest of such claim, demand, action or cause of action, as hereinafter provided.
Any FEDC Indemnitee that proposes to settle or compromise any claim, demand, action, cause of action or proceeding for which Recipient may be liable for payment of indemnity hereunder shall give Recipient written notice of the terms of such proposed settlement or compromise reasonably in advance of settling or compromising such claim or proceeding and shall obtain Recipient’s concurrence thereto.
