HSR Filings definition

HSR Filings means the filings by Merck and Licensor with the FTC and the Antitrust Division of the DOJ of a Notification and Report Form for Certain Mergers and Acquisitions (as that term is defined in the HSR Act) with respect to the matters set forth in this Agreement, together with all required documentary attachments thereto.

HSR Filings means the pre-merger notification and report forms required under the Xxxx-Xxxxx-Xxxxxx Antitrust Improvements Act of 1976, as amended.

HSR Filings shall have the meaning set forth in Section 4.1(f).

Examples of HSR Filings in a sentence

• Each Party shall use reasonable efforts to do, or cause to be done, all things necessary, proper and advisable to, as promptly as practicable, take all actions necessary to make the HSR Filings required of any of the Parties or their respective Affiliates under the HSR Act.

More Definitions of HSR Filings

HSR Filings means the filings by the Parties with the FTC and the DOJ of their respective premerger notification and report forms with respect to the matters set forth in this Agreement and the Stock Purchase Agreement, together with all required documentary attachments thereto.

HSR Filings means the filings by Selecta and Spark with the Federal Trade Commission (“FTC”) and the Antitrust Division of the Department of Justice (“DOJ”) of a Notification and Report Form for Certain Mergers and Acquisitions (as that term is defined in the HSR Act) with respect to Spark’s exercise of an Option for an Additional Target, together with all required documentary attachments thereto.

HSR Filings means any filings required under the HSR Act.

HSR Filings shall have the meaning given in Section 8.1.
