Funding Threshold definition

Funding Threshold means an aggregate total investment of [***] in cash, in one or a series of related transactions, in each case, in exchange for the Company’s capital stock.
Funding Threshold means a total gross investment, since the date of CTI’s incorporation, of Ten Million U.S. Dollars ($10,000,000) in cash in exchange for CBI capital stock.
Funding Threshold means a cumulative total of [***] in cash raised by the Company after the Effective Date in one or more financing rounds in exchange for Securities.

  • Non-NZ Government Funding Threshold: For a feature film: Signed letter of offer, deal memo or funding agreement from one or more non-New Zealand government funding entities which shows a genuine intention to fund (in aggregate) 10% or more of the production budget; OR A written offer of production funding from a New Zealand government entity or entities which makes that funding conditional on 10% or more of the production budget.

  • Payments shall only be made if and when the Funding Threshold has been achieved.

Funding Threshold. : means the minimum investment threshold in relation to an available investment opportunity listed on the Fraxtor Platform under the relevant Offer. Such Funding Threshold shall be as stipulated by the Offeror and/or Manager(s) and subject to such terms and conditions as may be imposed by Fraxtor, from time to time, in its sole discretion;

For the avoidance of doubt, if clause (ii) of the preceding sentence is applicable and the Corporation has issued and sold shares of its capital stock for gross cash proceeds in excess of the Funding Threshold, Funding Shares shall only be issued in respect of the issuance of shares (and Common Stock Equivalents, if applicable) up to and through the Funding Threshold, and no Funding Shares shall be issued in respect of shares (and Common Stock Equivalents, if applicable) issued for gross proceeds in excess of the Funding Threshold. The amount of any Convertible Debt (or any portion thereof) that is not included within the term Convertible Securities pursuant to Section 2.2(a) shall not be counted towards the Funding Threshold until such Convertible Debt (or portion thereof) is included within the term Convertible Securities. With respect to the financing in which the Funding Threshold is exceeded, any shares or other Common Stock Equivalents issued upon conversion of or otherwise in respect of any such Convertible Debt shall be deemed to have been issued prior to any other shares or other Common Stock Equivalents issued in such financing on a “first in first out” basis, based on the time that the initial funds were advanced in respect thereof.
Funding Threshold has the meaning assigned to that term in SECTION 2.11(B).
