Financing Agreement definition

Financing Agreement means any lease purchase agreement, installment sale agreement, loan agreement, line of credit or other agreement of the department or, with the approval of the director, and any agency, to finance the improvement, use or acquisition of real or personal property that is or will be owned or operated by one or more agencies of the State, the department or any agency, or to refinance previously executed financing agreements including certificates of participation relating thereto. The School shall not act as a guarantor of any such financing agreement.

Financing Agreement means agreements for financing the Facility or any portion of the Facility.

Financing Agreement means each financing agreement covering Financed Items, other than a CSA, a Secured Note, a Lease or an IPA.

• If the Financing Agreement provides for the repayment out of the proceeds of the Financing of an advance made by the Association or the Bank (“Preparation Advance”), the Association shall, on behalf of the Recipient, withdraw from the Financing Account on or after the Effective Date the amount required to repay the withdrawn and outstanding balance of the advance as at the date of such withdrawal from the Financing Account and to pay all accrued and unpaid charges, if any, on the advance as at such date.

• Any notice or other communication to be given to the Authority or the Underwriter under the Letter of Representation may be given by delivering the same in writing to the respective addresses set forth in Section 11 of the Bond Purchase Agreement; and any notice or other communication to be given to the School District under the Letter of Representation may be given by delivering the same in writing to the addresses set forth in the Financing Agreement.

• This Financing Agreement may be executed in several counterparts, each of which shall be an original and all of which shall constitute but one and the same instrument.

• All goods, works and services required for the Project and to be financed out of the proceeds of the Financing shall be procured in accordance with the provisions of Schedule 2 to the Financing Agreement.

• The School District agrees to retain all files and records relating to the construction of the Project for at least six (6) years after Project completion and to retain all other files and records relating to the Loan and School District Bonds for the term of this Financing Agreement.

Financing Agreement means any long-term agreement, lease, installment purchase contract or hire purchase agreement under which the Municipality undertakes to pay the capital cost of property, plant or equipment over a period of time;
