On and subject to the terms and conditions of this Agreement, at the Closing on the Closing Date and effective as of the Effective Time, Illinois-American shall purchase, acquire and accept from Tolono, and Tolono shall sell, convey, transfer, assign and deliver to Illinois-American, free and clear of all Encumbrances, the Acquired Assets.
