Information conveyed orally by the Discloser to Recipient shall be designated as proprietary and confidential at the time of such oral conveyance, shall be reduced to writing by the Discloser within forty-five (45) days thereafter, and shall be clearly marked with a confidential or proprietary legend.
If Discloser seeks a protective order, Recipient will reasonably cooperate in such effort at Discloser’s expense.
Recipient must ensure that all its Employees with Online Access are listed as Nominated Users in its Register, and only current Nominated Users apply to Discloser for Online Access.
