In the event of such postponement, GCI shall file, or seek effectiveness, as applicable, of such Registration Statement as soon as practicable after the Board of Directors of GCI shall determine, in its reasonable business judgment, that such registration and offering would not result in such Disadvantageous Condition (but in no event later than 60 days after the date of the applicable Demand Notice or initiation of the postponement after filing, as applicable).
When any Disadvantageous Condition as to which a Blackout Notice has been previously delivered shall cease to exist, UpstreamCo shall as promptly as reasonably practicable notify the Holders and take such actions in respect of such Registration Statement or Takedown Prospectus Supplement as are otherwise required by this Agreement.
When any Disadvantageous Condition as to which a Disadvantageous Condition Blackout Notice has been previously delivered shall cease to exist or any Trading Blackout Period as to which a Trading Blackout Notice has been previously delivered shall have ended, as applicable, CS&L shall as promptly as reasonably practicable notify the Holders and take such actions in respect of the Registration Statement as are otherwise required by this Agreement.
CS&L shall not impose, in any 365-day period, more than two Disadvantageous Condition Blackout Periods; such Disadvantageous Condition Blackout Periods shall not be permitted to run consecutively; and such Disadvantageous Condition Blackout Periods may not be prompted by the same Disadvantageous Condition.
Company shall use its reasonable efforts to cause the period during which a registration statement filed pursuant to this Section 9.3 is to remain effective pursuant to Section 9.5 to be extended by the number of days of any such suspension on account of a Disadvantageous Condition.
