DIP Facilities definition

DIP Facilities means the DIP ABL Facility and the DIP Term Loan Facility.

DIP Facilities means, collectively: (a) the TCEH DIP Facility; and (b) the EFIH First Lien DIP Facility.

DIP Facilities means, collectively, the credit facilities providing for the DIP Revolving Credit Loans, DIP Term Loans and DIP Term C Loans.

Examples of DIP Facilities in a sentence

• The DIP Facilities, and all borrowings thereunder, shall be subject to a budget updated monthly (with be PIK and 50% in cash.

• The proceeds of the Rights Offering and Exit Facility shall be in an aggregate amount which shall be sufficient to fund required distributions under the Plan, including to pay in full all outstanding amounts under the DIP Facilities (subject to the conversion of the DIP Term Loans to New Common Stock as described below) and the ABL Facility on the Effective Date.

• Critical Vendors The Debtors will treat certain holders of General Unsecured Claims as “critical vendors” pursuant to first-day orders, subject to the terms of the DIP Facilities.

• The Supporting Noteholders and the Supporting Lenders agree to consent to adequate protection and otherwise agree not to object to the terms of the DIP Facilities or cash collateral usage on terms that are materially consistent with the Interim DIP Order and the DIP Credit Agreement, and otherwise reasonably acceptable to the Debtors, the Required Supporting Noteholders, and the Supporting Lenders, subject to the terms of the Interim DIP Order and the Final DIP Order.

• The terms and conditions of the DIP Facilities shall be acceptable to the Supporting Noteholders and the Debtors, acting reasonably and in good faith.

More Definitions of DIP Facilities

DIP Facilities means, together, the DIP ABL Facility and DIP Term Facility.

DIP Facilities means those certain debtor-in-possession financing facilities in accordance to the terms and conditions set forth in the DIP Credit Agreement and the Final DIP Order, as applicable.

DIP Facilities means, collectively, the DIP Senior Loan Facility and the DIP Term Loan Facility.

DIP Facilities means those certain debtor-in-possession financing facilities, pursuant to the DIP Credit Agreements and the DIP Financing Orders.

DIP Facilities means the Senior DIP Facility and Junior DIP Facility.

DIP Facilities means the DIP Revolving Facility and the DIP to Exit Term Facility prior to the Conversion Date.

DIP Facilities means the debtor-in-possession financing facilities under the DIP-to-Exit Facility and/or DIP-to-Exit Revolving Facility.
