Covering Letter definition

Covering Letter means our letter referring these Terms to you and setting out any other special terms including the work you have asked us to do and the individuals who will handle it at our firm. Any conflict between the covering letter and these Terms shall be read in favour of the letter;
Covering Letter means the letter from the Department that offers Your Organisation the Grant as set out in the Agreement;
Covering Letter means the letter from the Department that offers Your Organisation the Funding as set out in the Schedule attached to the letter; Department means the Australian Government department or agency specified on the execution page of the Schedule or any other agency that is, from time to time, responsible for administering this Agreement and includes the department or agency’s officers, delegates, employees and agents; Dispose means to sell, license, lease or sublease, or otherwise transfer or give up ownership or the right to occupy or use or to enter into an agreement to do any of the preceding acts and ‘Disposal’ means the method of so disposing; Existing Material means, in respect of an Activity, all Material in existence prior to the Activity Start Date for that Activity that is: a. incorporated in; b. supplied with, or as part of; or c. required to be supplied with, or as part of, the Activity Material for that Activity and also includes: d. any Existing Material specified for the Activity in Item B of the Schedule; and e. any Intellectual Property rights in the above Material, but excludes Commonwealth Material; Freedom of Information Commissioner means any of the information officers appointed under the Australian Information Commissioner Act 2010 (Cth) when performing the ‘freedom of information functions’ as defined in that Act; Funding or Funds means, in respect of an Activity: a. the amount or amounts (in cash or kind) payable or paid by the Department to Your Organisation under this Agreement for the Activity as specified in Item C and Item F of the Schedule; b. any amount calculated in accordance with clause 5.1.5 in respect of the Activity; and c. any other amounts that are required under Item C of the Schedule to be treated as Funds, and used, for the Activity. Government Agency means any governmental, semi-governmental, administrative, fiscal, judicial or quasi-judicial body, department, commission, authority, tribunal, agency or entity; Guidelines means any Program guidelines, manuals or other documentation referred to in Item A of the Schedule (if any) as they are amended from time to time by the Department; Information Commissioner means any of the information officers appointed under the Australian Information Commissioner Act 2010 (Cth) when performing the ‘information commissioner functions’ as defined in that Act; Information Privacy Principle has the same meaning as in the Privacy Act 1988 (Cth);
