Disputes subject to arbitration include not only disputes involving the negotiation, meaning, or performance of this Agreement, but also claims Executive may have against the Company or any Company Affiliate, or against any of their officers, directors, supervisors, managers, employees, or agents, arising out of Executive’s employment relationship with the Company.
Therefore, Executive agrees that while employed by the Company and for twelve (12) months following the Termination Date, Executive will not, directly or indirectly, recruit or solicit any Company Employee to terminate his or her employment with the Company or any Company Affiliate.
During employment and for a one (1)-year period following the Termination Date, Executive will not, directly or indirectly, with or without compensation, solicit any Customer of the Company or of any Company Affiliate (defined in Subsection 9(f)(1)) to cease or reduce the extent to which it is doing business with the Company or any Company Affiliate.
Upon termination of Executive’s employment hereunder for any reason (including expiration of this Agreement), Executive agrees to resign from all positions that Executive holds as an officer or member of a board (or a committee thereof) of the Company or any Company Affiliate (as defined in Subsection 9(f)(1)).
For purposes of this Subsection, “Company Employees” means all employees working for the Company or any Company Affiliate as of the Termination Date.
