Examples of Cause in a sentence

  • The Company may terminate Executive’s employment at any time without Cause, effective upon delivery to Executive of written notice of such termination.

  • The Term of Employment, and Executive’s employment hereunder, shall terminate upon the earliest to occur of (i) Executive’s death, (ii) a termination by reason of a Disability, (iii) a termination by the Company with or without Cause, and (iv) a termination by Executive with or without Good Reason.

Cause means (A) any willful act or omission that constitutes a material breach by Executive of any of Executive’s material obligations under this Agreement; (B) the willful and continued failure or refusal of Executive to substantially perform the material duties reasonably required of Executive as an employee of the Company Group; (C) Executive’s commission or conviction of, or plea of guilty or nolo contendere to, (1) a felony or (2) a crime involving fraud or moral turpitude (or any other crime relating to the Company Group which would reasonably be expected to be materially injurious to the Company Group); provided that if the Company terminates Executive’s employment and withholds payments or benefits to Executive on the assertion that Executive committed a felony or crime described in this clause and Executive is subsequently acquitted of such felony or crime, then the Company shall promptly pay to Executive an amount sufficient to restore Executive to the same economic position Executive would have been in had Executive’s termination of employment been without Cause (including by paying an amount in severance that Executive would have been entitled to under this Agreement); (D) Executive’s willful theft, dishonesty or other misconduct that would reasonably be expected to be injurious to the Company Group; (E) Executive’s willful and unauthorized use, misappropriation, destruction or diversion of any material or intangible asset of the Company Group (including, without limitation, Executive’s willful and unauthorized use or disclosure of the Company Group’s confidential or proprietary information) that would reasonably be expected to be materially injurious to the Company Group; (F) any violation by Executive of any law regarding employment discrimination or sexual harassment that would reasonably be expected to be materially injurious to the Company Group; provided that a termination of Executive’s employment for Cause that is susceptible to cure shall not be effective unless the Company first gives Executive written notice of its intention to terminate and the grounds for such termination, and Executive has not, within ten business days following receipt of such notice, cured such Cause;
Cause means any of the following: (i) Executive’s gross negligence or willful misconduct in the performance of his or her duties to the Company and its affiliates; (ii) Executive’s willful and habitual neglect of or failure to perform Executive’s duties of consulting or employment (which neglect or failure is not caused by Executive’s illness or mental or physical disability), which neglect or failure is not cured within thirty (30) days after written notice thereof is received by Executive (it being agreed that a failure of the Company and its affiliates to meet performance objectives shall not, alone, constitute a failure by Executive to perform his duties); (iii) Executive’s commission of any material act of fraud, dishonesty or financial or accounting impropriety with respect to the Company and its affiliates which results in a personal benefit to Executive; (iv) Executive’s failure to cooperate with the Company and its affiliates in any investigation or formal proceeding initiated by a governmental authority or otherwise approved by the Board or the Audit Committee of the Board (which failure is not caused by Executive’s illness or mental or physical disability), which failure is not cured within thirty (30) days after written notice thereof is received by Executive; (v) Executive’s conviction of or plea of guilty or nolo contendere to felony criminal conduct (other than moving vehicle violations); (vi) Executive’s material violation of the Company’s Confidentiality and Proprietary Rights Agreement (as defined below) or similar agreement that Executive has entered into with the Company and its affiliates; or (vii) Executive’s material breach of any obligation or duty under this Agreement or material violation of any written employment or other Company policies that have previously been furnished to Executive, which breach or violation is not cured within thirty (30) days after written notice thereof is received by Executive, if such breach or violation is capable of being cured.
Cause means willful misconduct by the Participant or willful failure by the Participant to perform his or her responsibilities to the Company (including, without limitation, breach by the Participant of any provision of any employment, consulting, advisory, nondisclosure, non-competition or other similar agreement between the Participant and the Company), as determined by the Company, which determination shall be conclusive. The Participant shall be considered to have been discharged for “Cause” if the Company determines, within 30 days after the Participant’s resignation, that discharge for cause was warranted.

Cause means: (a) conviction or entry of a plea of nolo contendere for any felony; (b) embezzlement, misappropriation, fraud, dishonesty, unethical business conduct, or breach of fiduciary duty to Company or any affiliate (other than those acts that are curable without damage to the Company and/or its affiliates, in which case Employee will have ten (10) days to cure such breach following written notice thereof to Employee by Company, and other than those acts that do not result in material harm to the Company); (c) inability or refusal to substantially perform Employee’s duties hereunder and Employee’s failure to cure such condition within 30 days after receiving written notice thereof by the Company; (d) failure to follow reasonable and lawful directions from the persons to whom Employee report and Employee’s failure to cure such condition within 30 days after receiving written notice thereof by the Company; (e) use of alcohol or use of illegal drugs, interfering with performance of Employee’s obligations to Company or any affiliate, continuing after written warning; (f) commission of any willful or intentional act which materially injures or could reasonably be expected to materially injure the reputation, business or business relationships of Company, any affiliate, Employee or other employees of Company or any affiliates; (g) willful disregard or violation of Company’s or any affiliate’s written policies regarding harassment or discrimination, or any other material violation of Company’s or any affiliate’s written policies as in effect from time to time and Employee’s failure to cure such breach within 30 days after receiving written notice thereof by the Company; (h) gross negligence or willful misconduct in the performance Employee’s duties or with regard to the assets, business or employees of Company or any affiliates; (i) material breach of Employee’s obligations to Company or any affiliate (other than those acts that are curable without damage to the Company and/or its affiliates, in which case Employee will have ten (10) days to cure such breach following written notice thereof to Employee by Company); (j) usurpation of a corporate opportunity; or (k) misappropriation, unauthorized use or disclosure of Proprietary Information that results in a material breach of this Agreement.
