Cash Election Number definition

Cash Election Number has the meaning set forth in Section 3.2(a)(ii)(A).

Cash Election Number shall have the meaning as set forth in Section 3.2(b) of the Agreement.

More Definitions of Cash Election Number

Cash Election Number shall have the meaning stated in Section 2.8(a).

Cash Election Number means the aggregate number of shares of Company Common Stock converted into the right to receive Cash Consideration in the Merger, which shall equal the Cash Amount divided by the Per Share Amount; provided that Newco reserves the right in its sole discretion to increase the Cash Election Number to more closely follow the actual elections of the Company's shareholders (but not to a number which is greater than the number of shares of Company Common Stock in respect of which a valid Cash Election has been made).

Cash Election Number means the quotient of (i) the Maximum Cash Consideration divided by (ii) the Cash Consideration; the “Stock Election Number” shall mean the quotient of (i) the Maximum Stock Consideration divided by (ii) the Stock Consideration; and the “Average Closing Price” shall mean the lesser of (i) the closing price of a share of Parent Common Stock on the day before the Closing Date and (ii) the average of the high and low trading prices of the Parent Common Stock on the day before the Closing Date.

Cash Election Number means, subject to Section 3.1(j), the Premcor Closing Share Number multiplied by 0.5.

Cash Election Number means, subject to Section 3.1(k), the quotient, rounded to the nearest whole share, obtained by dividing (x) the product of 27.5 and the UDS Closing Share Number by (y) the Cash Consideration; provided, however, that, if the Cash Election Number as so determined exceeds 50% of the UDS Closing Share Number, Valero may in its discretion set a maximum Cash Election Number at any lesser number so long as such maximum Cash Election Number equals or exceeds 50% of the UDS Closing Share Number.
