Basic Subscription Privilege definition

Basic Subscription Privilege means a privilege to subscribe for the number or amount of securities set out in a rights certificate held by the holder of the rights certificate;
Basic Subscription Privilege shall have the meaning set forth in the recitals hereof.

Examples of Basic Subscription Privilege in a sentence

  • Each holder of Rights who has exercised in full the Basic Subscription Privilege attaching to its Rights by the Expiry Time on the Expiry Date, and only such holders, shall have the right to the Additional Subscription Privilege, to subscribe for any Rights Shares in respect of Rights not otherwise exercised.

  • The Corporation will use such commercially reasonable efforts as the Standby Purchasers may reasonably request to enforce payment in respect of, or to otherwise ensure the valid exercise of, all Rights purported to be exercised either under the Basic Subscription Privilege or the Additional Subscription Privilege.

  • Each holder of Rights who has exercised in full the Basic Subscription Privilege attaching to its Rights by the Expiry Time, and only such holders, shall have the right to the Additional Subscription Privilege.

  • The completion of the purchase of Rights Shares pursuant to the Basic Subscription Privilege and the Additional Subscription Privilege by each Rights holder will occur at the time, and in the manner set forth in the Rights Offering Circular, and any conflict between this Agreement and the Rights Offering Circular will be resolved in favour of the Rights Offering Circular.

  • The offer and sale of the Underlying Shares pursuant to the exercise of the Basic Subscription Privilege and the Over-Subscription Privilege are referred to herein as the “Rights Offering.” For each three shares of Common Stock subscribed for, purchasers will receive, without charge, one warrant to purchase one additional share of Common Stock at a purchase price of $1.00 per share (the “Warrant”).


More Definitions of Basic Subscription Privilege

Basic Subscription Privilege means a privilege to subscribe for that number of securities set out in a rights certificate held by a holder of the rights certificate;
Basic Subscription Privilege means the right of Eligible Rights Holders to subscribe for and purchase Common Shares through the exercise of Rights at the rate of one Common Share for each Right held.
Basic Subscription Privilege means the entitlement of a holder of Rights to subscribe for Units pursuant to the Rights Offering, at a price equal to the Subscription Price, as such entitlement is further detailed in the Prospectus.
