  • AccuLive shall promptly provide Client and any AT System users with such technical services via e-mail, AccuLive website or telephone during normal business hours of 8:00 a.m. to 5:00 p.m. PST, Monday through Friday (excluding observed holidays).

  • During the Term, AccuLive will provide Client with such consultation and technical support services related to the AT System and all other Products as reasonably required to keep the AT System functioning.

  • AccuLive desires to provide to Client, and Client desires to obtain from AccuLive, in accordance with the terms and conditions of this Agreement, a branded version of AT System hosted on the AccuLive Site in order to allow Client to expand its tutoring services online and permit Client to provide online tutoring services for its students.

  • Client will provide AccuLive with such assistance as is reasonably necessary for AccuLive to timely fulfill its obligations under the Agreement, including providing AccuLive with access to the Client Site and assistance from Client personnel with the planned integration of the AT System with the Client Site.

  • This license is granted subject to and provided that under no circumstances shall (i) any use of AccuLive Trademarks be derogatory, defamatory, disparaging or otherwise adverse to AccuLive or the Products, and (ii) any copyright or other intellectual property notice contained in the AT System or provided with the Products be removed, altered or hidden in any manner.
