Your employees. 10.1 We will provide You with a Vehicle that is of acceptable quality and in good working condition taking into account the age of the Vehicle but breakdowns do occur. Twenty four hour roadside assistance is provided free of charge for breakdowns (but not for Accidents) and if the Vehicle breaks down during the Rental Period You must contact Us on 0000 00 00 00 to arrange assistance. We will recover and repair the Vehicle as soon as possible but if it cannot be repaired We will use Our best endeavours to provide a replacement Vehicle where one is available.

Your employees. You are solely responsible for compensation of any persons in your employ including any producers and agree to hold the Company harmless from any damages which may be incurred as a result of your failure to compensate said individuals.

You will be solely responsible for all employment decisions and functions, including hiring, firing, discipline, supervision, setting terms of employment and compensation and implementing a training program for employees of your business. You will never represent or imply to prospective employees and employees that they will be or are employed by GAF or any affiliate of GAF. GAF shall not control or have access to your funds or the expenditure thereof, or in any other way exercise dominion or control over your business or employees.

You are responsible for all acts and omissions of your officers, directors, partners, employees, agents, representatives, Personal Identification Number (“PIN(s)”) holders, and contractors, including persons granted signature authority on your Accounts and personnel who are permitted to give us instructions in respect of transactions processed hereunder (“Personnel” and/or “Authorized Users”, collectively “Authorized Personnel”). We are entitled, without further inquiry or investigation, to assume that the actions of your Authorized Personnel are appropriate and authorized by you. You are strongly advised to establish and maintain policies and procedures and accounting and auditing controls that will prevent (or at least allow the early detection of) fraud or other unauthorized activity by your Authorized Personnel. As between you and us, you agree to accept sole responsibility for losses attributable to the acts or omissions of your Authorized Personnel. We will, in accordance with your requests from time to time, maintain records of your Authorized Personnel, change such records (with reasonable advance notice and after we have had a reasonable opportunity to act upon such notice), and confirm those records to you. We may require your requests to be confirmed in writing and to be from Authorized Personnel on your Account or from another person with proper authority. These records are maintained as an administrative convenience only and do not form a part of the Security Procedure. We are permitted, but not required, to honor all requests and instructions from your Authorized Personnel.
