K12 acknowledges and agrees that, as between K12 and its Affiliates on the one hand and the School on the other, the School owns all intellectual property rights and interests in the name of the Program. K12 further acknowledges and agrees that neither it nor any of its Affiliates has any intellectual property interest or claims in or to the Program’s name. The School hereby grants K12 and each of its Affiliates a royalty-free, non-exclusive, non-transferable license, during the Term and for a period of thirty (30) days following the expiration or earlier termination of this Agreement, to use the Program’s name in connection with the Program’s operations as contemplated in this Agreement. The School hereby grants K12 and each of its Affiliates a royalty-free, non-exclusive, non-transferrable perpetual license to use the Program name in electronic and written marketing materials to promote the goods and services offered by K12 or any of its Affiliates.
