Personal Injury or Property Damage. Licensee and Sublicensee(s) shall indemnify and hold Licensor and its Affiliates and their respective directors, officers, employees and agents harmless from and against any and all claims, judgments, costs, awards, expenses (including, but not limited to, any attorney's fees) or liability of any kind arising out of any activities performed by Licensee and Sublicensees pursuant to this Agreement, including without limitation personal injury or property damage caused or alleged to be caused by a Licensed Product. In addition, Licensee and Sublicensee(s) shall assume all obligations for warranties and product liability claims that accompany or result from the sale or use of a Licensed Product; and shall indemnify and hold Licensor harmless from and against any and all claims, judgments, costs, awards, expenses (including, but not limited to, any attorney's fees) or liability of any kind arising from customers and relating to such warranty obligations or product liability claims. Licensee's or Sublicensee's obligation to indemnify Licensor under this Section 10.1 shall not apply to the extent caused by the gross negligence or willful misconduct of Licensor.

NN's obligation to indemnify ZGI under this SECTION 16.1 shall not apply in case of gross negligence or willful misconduct by ZGI.
Personal Injury or Property Damage. Neither Undercover nor any employee, principal, or agent of Undercover shall be liable whatsoever to Occupant or to Occupant’s family, friends, employees, agents, invitees or licensees for any personal injury, death or property damage related to or arising from Occupant’s use of the storage space or premises or suffered while on the premises, including injury, death, or property damage arising from the negligence or omissions of Undercover or its employee or agents. Additionally, Undercover shall not be responsible or liable to Occupant for any personal injury, death or property damage caused by the actions, negligence, willful acts or failures of other occupants or the invitees or licensees of another occupants. Occupant hereby expressly releases Undercover, its employees, agents, principals, and owners, from any and all claims described and set forth herein.

Personal Injury or Property Damage. (a) NN shall indemnify, defend and hold harmless ZGEN, its directors, officers, employees and agents (collectively, the “Indemnitees”) from and against any and all claims, judgments, costs, awards, expenses (including any attorneys’ fees) or liability of any kind arising out of personal injury or property damage caused or alleged to be caused by any Product developed, manufactured, used or sold by NN or any of its Affiliates, Commercialization Partners or Sublicensees or the use of any IL-21 Related Patents or IL-21 Related Know-How by NN or any of its Affiliates, Commercialization Partners or Sublicensees. In addition, NN shall assume all obligations for warranties and product liability claims that accompany or result from the sale or use of any Product developed, manufactured or sold by NN or any of its Affiliates, Commercialization Partners or Sublicensees and shall indemnify, defend and hold harmless the Indemnitees from and against any and all claims, judgments, costs, awards, expenses (including any attorneys’ fees) or liability of any kind arising from customers’ or users’ use of any Product developed, manufactured or sold by NN or any of its Affiliates, Commercialization Partners or Sublicensees and relating to such warranty obligations or product liability claims.
Personal Injury or Property Damage. At any time during the term of this Agreement and thereafter, Romeo shall indemnify and hold Purchaser, its parent, subsidiaries and affiliates, and their respective officers and directors harmless from and against any and all Claims arising out of personal injury (including death) or property damage alleged to have been solely caused by a defect in design, materials or workmanship of a Product. However, Romeo shall have no liability to Purchaser with respect to damages caused solely by Purchaser’s integration of the Product into Purchaser Authorized Products.

At any time during the term of this Agreement and thereafter, Rxxxx shall indemnify and hold Purchaser, its parent, subsidiaries and affiliates, and their respective officers and directors harmless from and against any and all Claims arising out of personal injury (including death) or property damage alleged to have been solely caused by a defect in design, materials or workmanship of a Product. However, Rxxxx shall have no liability to Purchaser with respect to damages caused solely by Purchaser’s integration of the Product into Purchaser Authorized Products.
