OTHER RELATED AGREEMENTS. Stanford, SFG and SVCH shall have executed and delivered to Parent and the Company each other Related Agreement to which such Person is to be a party or signatory.

MDCM and the Company shall have executed and delivered, to the extent it is a party thereto, an Administrative Services Agreement (the "Administrative Services Agreement"), a Service Xxxx Agreement (the "Service Xxxx Agreement"), a Web Hosting Agreement (the "Web Hosting Agreement"), a License Agreement (the "License Agreement") and a Sublease for Office Space (the "Sublease"), all in form and substance reasonably satisfactory to the Investors.

This Agreement shall, as necessary, be interpreted and regarded as part of a package of agreements between the Parties relating to the joint venture to be created hereunder, namely: - Articles of Association of CTC, to be registered with appropriate Malaysian Government offices; - Employment Agreement between CTC and the General Manager; - Construction Agreement between CTC and TEL as referred to in Article 3.2; and - Intellectual Property Agreement as referred to in Article 7.1,

NEGOTIATED RE-OPENERS DURING THE CONTRACT PERIOD OF July 1, 2021 through June 30, 2024 Management retains the right to reopen the contract in year 2 to address issues related to workload and workload caps in year 3. Should Management trigger this reopener (either formally or during the JLMC), AFSCME Local 143 may reopen the contract on the matter of wages.

OTHER RELATED AGREEMENTS. 9. Ace shall pay Atrium to cover its set-up costs of Atrium providing a fully functional customized ACE REWARDS platform for use with Ace's customers and/or employees. Atrium shall also provide enhanced Solata marketing and communication modules to the platform at agreed upon customization costs plus added functionality that would allow ACE to re-sell this ACE REWARDS platform to other entities within the promotional products industry as described in paragraph 11 below. All costs incurred by Atrium and to be paid by Ace shall be approved in advance in writing by Ace.
