Opinion of Counsel to the Borrower. A favorable written opinion (addressed to the Administrative Agent and the Lenders and dated the Effective Date) of Dechert LLP, counsel for the Obligors, in form and substance reasonably acceptable to the Administrative Agent and covering such matters as the Administrative Agent may reasonably request (and the Borrower hereby instructs such counsel to deliver such opinion to the Lenders and the Administrative Agent).
Opinion of Counsel to the Borrower. A favorable written opinion (addressed to the Administrative Agent and the Lenders and dated the Effective Date) of (A) Xxxxxx Xxxxxxxx Xxxxx & Xxxxxxxx LLP, New York counsel for the Borrower and the Subsidiary Guarantors and (B) Young Xxxxxxx Stargatt & Xxxxxx, LLP, Delaware counsel for the Borrower and the Subsidiary Guarantors, in each case, in form and substance reasonably acceptable to the Administrative Agent (and the Borrower hereby instructs such counsel to deliver such opinion to the Lenders and the Administrative Agent).

The Administrative Agent shall have received (a) an opinion of Xxxxxx Xxxxxxx, assistant general counsel of the Borrower, dated the Effective Date, in the form of Exhibit D‑1, and (b) an opinion of Shearman & Sterling LLP, special counsel to the Borrower, dated the Effective Date, in the form of Exhibit D‑2.
Opinion of Counsel to the Borrower. (1) The Borrower has been duly incorporated and is validly existing as a not-for-profit cooperative association in good standing under the laws of the District of Columbia with corporate power and authority to execute and perform its obligations under the Bond Documents.

Favorable written opinions (addressed to the Administrative Agent and the Lenders and dated the Effective Date) of: (x) Fried, Frank, Harris, Xxxxxxx & Xxxxxxxx LLP, special New York counsel for the Borrower, and (y) Dechert LLP, counsel to the Borrower, each in form and substance reasonably acceptable to the Administrative Agent (and the Borrower hereby instructs such counsel to deliver such opinions to the Lenders and the Administrative Agent).

A favorable written customary opinion (addressed to the Administrative Agent, the Collateral Agent and the Lenders and dated the Restatement Effective Date) of each of (x) Xxxxxx & Xxxxxxx LLP, special counsel for the Obligors and (y) Xxxxxxx Xxxxxxx & Xxxxxxxx LLP, regulatory counsel for the Borrower, each in form and substance reasonably satisfactory to the Administrative Agent and covering such matters as the Administrative Agent may reasonably request (and the Borrower hereby instructs such counsel to deliver such opinion to the Lenders, the Administrative Agent and the Collateral Agent).
Opinion of Counsel to the Borrower. The Administrative Agent shall have received an opinion of Xxxxxx Xxxxxx, L.L.P., counsel to the Borrower, addressed to the Credit Parties and dated the Closing Date, substantially in the form of Exhibit K, and covering such additional matters as the Required Lenders may reasonably request. It is understood that such opinion is being delivered to the Credit Parties upon the direction of the Borrower and that the Credit Parties may and will rely upon such opinion.
