Joining Parties. It is hereby agreed that any New Investor (as defined in the Series B Share Purchase Agreement) participating in the Second Closing of the Series B Share Purchase Agreement shall become a party to this Agreement, and a “Shareholder” for all intents and purposes hereunder, by singing the Joinder Agreement attached as Exhibit 3.4 of the Series B Share Purchase Agreement.

Joining Parties. Each of the Administrative Agent and the Indenture Trustee have joined this Agreement solely for the purpose of enforcing the provisions of this Agreement and have no responsibility, obligations or liability for any provision hereof; and, as such, shall have full power and authority, but no obligation, to enforce the provisions of this Agreement against such parties. For avoidance of doubt, this Agreement shall be binding upon and inure to the benefit of the joining parties hereto and their respective successors, legal representatives and assigns, including any successor indenture trustee appointed pursuant to the Indenture.
