Investigation and Prevention. Transfer Agent shall reasonably assist Fund in investigating of any such unauthorized access and shall use commercially reasonable efforts to:
Investigation and Prevention. DST shall reasonably assist Fund in investigating of any such unauthorized access and shall use commercially reasonable efforts to: (A) cooperate with Fund in its efforts to comply with statutory notice or other legal obligations applicable to Fund or its clients arising out of unauthorized access and to seek injunctive or other equitable relief; (B) cooperate with Fund in litigation and investigations against third parties reasonably necessary to protect its proprietary rights; and (C) take reasonable actions necessary to mitigate loss from any such authorized access.

State Street shall reasonably assist Client in investigating of any such unauthorized access and shall use commercially reasonable efforts to: (A) cooperate with Client in its efforts to comply with statutory notice or other legal obligations applicable to Client or its clients arising out of unauthorized access and to seek injunctive or other equitable relief; (B) cooperate with Client in litigation and investigations against third parties reasonably necessary to protect its proprietary rights; and (C) take reasonable actions necessary to prevent mitigate against loss from any such authorized access.

Subject to the limitations of liability set forth in the Agreement, DST shall reasonably assist Client in investigating of any such unauthorized access and shall use commercially reasonable efforts to, in DST’s discretion, mitigate loss from any such unauthorized access. DST shall instruct its employees, agents, and in DST’s reasonable discretion, its subcontractors, if applicable, that they shall comply with the terms of this contract for security, access, and safety requirements for the protection of Client’s information assets and incorporate similar terms into their contract agreements with their third party providers. Xxxxxx shall investigate any such Security Incident and shall use commercially reasonable efforts to: (A) cooperate with MFS to the extent necessary to comply with statutory notice or other legal obligations applicable to MFS arising out of any Security Incident; and (B) take reasonable actions necessary to prevent and mitigate against loss from any such Security Incident. X. X. Xxxxxx shall use continuous and diligent efforts to remedy the cause and the effects of any Security Incident in an expeditious manner. X. X. Xxxxxx shall be responsible for associated costs that MFS and/or X. X. Xxxxxx may incur in connection with responding to, or managing a Security Incident.
