Guaranteed Compensation. ICAA, as payment and consideration for the services to be performed by Coach, and contingent upon Coach’s satisfactory annual performance evaluation, agrees to pay Coach, or cause Coach to be paid, annual guaranteed compensation as set forth in Appendix B (“Guaranteed Compensation”). ICAA shall pay Coach in accordance with all customary payroll procedures. Guaranteed Compensation is subject to the same furlough and temporary salary reduction measures that may be imposed from time-to- time Coach’s employer on its exempt employees.

Guaranteed Compensation. The aggregate gross compensation paid to Executive, including but not limited to Base Salary, Discretionary Bonus and grant date value of any equity or similar grants (but excluding the Sign-On Restricted Stock Unit Grant and the payments provided for in Section 3(e) below), shall not be less than $2,700,000 during each twelve month period of the Term ending on July 31st of each year (the “Guarantee”), provided Executive has not resigned in breach of this Agreement or been terminated for Cause on each applicable July 31st.

Artist’s Guaranteed Compensation shall accrue, and shall be paid, to Artist in accordance with Producer’s standard weekly payment schedule.

Guaranteed Compensation. The Coach shall be entitled to continue to receive the Guaranteed Compensation set forth in Paragraph 4.1, above, (comprising Annual Base Salary, Radio and Television Appearance compensation, Personal Appearance compensation, Fund Raising Activities compensation, and Service, Equipment and Apparel Endorsement compensation) for the remaining portion of the term of this 2011 Agreement or any extension thereof, as if he were still employed; and,
Guaranteed Compensation. The sum of $175,000 which sum shall be reducible on a dollar-for-dollar basis by all fees payable to any and all third party line producer(s) and UPM(s) to a cap in reduction of $75,000. Said compensation shall be payable 1/6 upon commencement of preproduction, 1/3 upon commencement of principal photography, 1/3 upon completion of principal photography and 1/6 upon delivery of the answer print of the Picture to the exhibitor.
Guaranteed Compensation. The sum of $25,000 payable 1/6 upon commencement of preproduction, 1/3 upon commencement of principal photography, 1/3 upon completion of principal photography and 1/6 upon delivery of the answer print of the Picture to the exhibitor. The aforementioned sum shall be increased by any savings to Producer as it relates to the Line Producer/UPM fees. (Producer has agreed to pay a Line Producer/UPM fees of up to $75,000.)
