Xxxxxxxx/PhaseRx - Page 1 EXHIBIT H TO LEASE ASBESTOS DISCLOSURE NOTIFICATION OF THE PRESENCE OF ASBESTOS CONTAINING MATERIALS This notification provides certain information about asbestos within or about the Premises at 400 Xxxx Xxxxxxxx Xxxxxx, Seattle, WA (“Building”) and in accordance with Washington Administrative Code, Chapter 200-00-00000. Historically, asbestos was commonly used in building products used in the construction of buildings across the country. Asbestos-containing building products were used because they are fire-resistant and provide good noise and temperature insulation. Because of their prevalence, asbestos-containing materials, or ACMs, are still sometimes found in buildings today. An asbestos survey of the Building has determined that ACMs and/or materials that might contain ACMs, referred to as presumed asbestos-containing materials or PACMs, are present within or about the Premises. Two Hundred Thirty-three Thousand Eight Hundred Forty and no/100ths Dollars ($233,840. 00) at a point of delivery in Australia designated by TOGA, on or before September 30, 2002. Mxxxxxxx shall make all arrangements, and pay all costs, duties, expenses and taxes applicable to the Compressors from the point of delivery. TOGA will provide Mxxxxxxx an Mxxxxxxx Drilling Contractors Pty Ltd. Page 4 October 7, 2002 opportunity to inspect the Compressors before the sale date, and Mxxxxxxx shall accept the Compressors from TOGA “AS IS, WHERE IS AND SUBJECT TO ALL FAULTS”, AND WITHOUT ANY WARRANTIES (WHETHER EXPRESSED, IMPLIED OR STATUTORY) INCLUDING, WITHOUT LIMITATION, CONDITION, QUANTITY, QUALITY, FITNESS FOR A PARTICULAR PURPOSE, CONFORMITY TO THE MODELS OR SAMPLES OF MATERIALS, MERCHANTABILITY, FITNESS FOR ANY PURPOSE OR INFRINGEMENT OF ANY INTELLECTUAL PROPERTY RIGHTS. To the extent enforceable under applicable laws, TOGA will convey the Compressors to Mxxxxxxx with full subrogation and substitution of Mxxxxxxx to all applicable covenants and warranties including, without limitation, contractors’, manufacturers’ and suppliers’ warranties, which have heretofore been made by any third party contractor, manufacturer or supplier with respect to the Compressors.
Compressors. The Parties acknowledge and agree as follows: (a) With respect to Koki #4, to the extent that Koki #4 is not fully operational as of the Closing Date consistent with the Company Group’s past practice with respect to the Company Group’s same or similar model compressor units (“Fully Operational”), Seller shall, and shall cause its Affiliates to, continue to use commercially reasonable efforts to repair, restore or replace Koki #4 as soon as practicable following the Closing until Koki #4 is Fully Operational, as determined in good faith by Xxxxxx and Xxxxx. Notwithstanding anything to the contrary herein, Seller shall be responsible for any and all costs and expenses associated with such repair, restoration or replacement work, which such responsibility shall survive this Agreement; provided that Seller shall not be responsible for any costs or expenses associated with Koki #4 that relate to or arise from any period after Koki #4 becomes Fully Operational, as determined in good faith by Seller and Buyer. Any insurance proceeds received by Seller, any Company Group Member or their respective Affiliates in connection with such repair, restoration or replacement of Koki #4, whether before or after the Closing, will be retained by or promptly paid to Seller upon receipt. From and after the Closing, Buyer shall, and shall cause its Affiliates (including the Company Group) to, reasonably cooperate with Seller as necessary to enable Seller to obtain any such insurance proceeds. (b) With respect to Koki #5, during the Interim Period and from and after Closing, Seller shall, and shall cause its Affiliates to, continue to use commercially reasonable efforts to repair, restore or replace Koki #5 as necessary to make Koki #5 mechanically operational such that it is ready to be installed and placed into commercial service at the Koki Station, as determined by Koki #5 passing a no-load run test (at which such test Representatives of Buyer are present or were provided a reasonable opportunity to be present with no less than five (5) Business Days prior written notice) prior to its delivery
