Company Arrangements. Other than this Agreement and the Ancillary Agreements, as of the date hereof, none of Parent or the Merger Subs, or their respective executive officers, directors or Affiliates, has entered into any agreement, arrangement or understanding with any of the executive officers, directors, Founders or Affiliates of the Company relating in any way to the Transactions or the operations of the Company.
Company Arrangements. The Company shall arrange, effective October 1, 2002, to make available a Paramedical Benefit as set forth in this Exhibit as follows:

Company Arrangements. The Executive shall be entitled to any other or additional benefits in accordance with the then-applicable terms of any applicable plan, program, governance document, agreement, or arrangement of the Company or any of its Affiliates (each a “Company Arrangement”; collectively, “Company Arrangements”), such payments and benefits, if due as of the Effective Date, to be provided within thirty (30) days thereafter and, if due after the Effective Date, to be provided promptly when due. For avoidance of doubt, payments due to the Executive under the Company’s Supplemental Executive Retirement Plan shall be made at the time(s), and in the amount(s), required under the Company’s Supplemental Executive Retirement Plan and the Executive’s elections thereunder.
Company Arrangements. Other than this Agreement, the Confidentiality Agreement, the Governance Agreement and the Ancillary Agreements, as of the date hereof, none of Purchaser, or its executive officers, directors or Affiliates, has entered into any agreement, arrangement or understanding with any of the executive officers, directors or Affiliates of the Company relating in any way to the Transactions or the operations of the Company.
Company Arrangements. Other than agreements with the Company, including this Agreement and the Confidentiality Agreement, as of the date hereof, none of Parent or Merger Sub, or their respective executive officers, directors or Affiliates, has entered into any Contract, agreement, formal or informal arrangement or understanding (whether or not binding) with any of the stockholders, officers, directors, or employees of the Acquired Companies (a) relating in any way to (i) this Agreement or the Merger or (ii) the Surviving Corporation or any of its Subsidiaries, businesses or operations (including as to continuing employment) from and after the Closing or (b) pursuant to which any (i) such holder of shares of Company Capital Stock would be entitled to receive consideration of a different amount or nature than the Merger Consideration in respect of such holder’s shares of Company Capital Stock; (ii) such holder of shares of Company Capital Stock has agreed to approve this Agreement or vote against any Superior Proposal; or (iii) such stockholder, officer, director, or employee of the Acquired Companies has agreed to provide, directly or indirectly, equity investment to the Parent Parties or the Company to finance any portion of the aggregate Merger Consideration or Vested RSU Consideration.
