Coming Into Effect. This Agreement replaces and supersedes the Original Agreement and is effective and in full force and effect in accordance with its terms from and after the reconfirmation by resolution passed by a majority of greater than 50 percent of the votes cast by all holders of Voting Shares of the Corporation who vote in respect of reconfirmation of this Agreement at the annual and special meeting of the Corporation’s shareholders held on April 21, 2010 or any adjournment or postponement thereof.
