Agreement Conditional. This Agreement and the transaction arising therefrom are conditional upon compliance with the provisions of the Planning Act of Ontario, and amendments thereto at the Vendor’s expense.

Agreement Conditional. It is agreed that each of the parties shall have the right to terminate this Agreement if more than 25 persons opt out of the class proceeding. It is further understood that the OHA has the right to terminate this Agreement if, prior to the certification motion being heard, the OHA is satisfied that it does not have sufficient support among the Participating Employers for this Agreement. This Agreement is conditional upon the Court approving the distribution of the Proceeds as set out in paragraph 2 of this Agreement and the payment of expenses as set out in paragraph 3 of this Agreement.

This Agreement will not be effective unless and until it is approved by the Court in each of the Class Actions, and if such appro vals are not granted wit hout any material differences therein, this Agreement will be thereupo n terminated and none of the Parties will be liable to any of the other Parties hereunder.
