Adjustment to Conversion Rate upon Occurrence of a Fundamental Change. If a Fundamental Change occurs prior to December 24, 2012, and a holder elects to convert its Securities in connection with such transaction, the Company shall, under certain circumstances, increase the Conversion Rate for the Securities so surrendered for conversion as described in this Section 15.13. A conversion of Securities will be deemed for these purposes to be "in connection with" such Fundamental Change if the notice of conversion of the Securities is received by the conversion agent from, and including, the Effective Date of the Fundamental Change up to, and including, the Business Day immediately prior to the Fundamental Change Purchase Date. Upon surrender of Securities for conversion in connection with a Fundamental Change, the Company will deliver Common Shares unless it has previously obtained consent from holders as specified in Section 9.02 and Section 15.03, in which case the Company shall have the option to deliver, in lieu of Common Shares, including the Additional Common Shares, cash or a combination of cash and Common Shares. Notwithstanding the foregoing, a holder shall not be entitled to an adjustment to the Conversion Rate pursuant to this Section 15.13 if at least 90% of the consideration for the Common Shares (excluding cash payments for fractional shares and cash payments made in respect of dissenters' appraisal rights and cash payment of the required cash payment, if any) in the transaction or transactions constituting the Fundamental Change consists of securities traded on a United States national securities exchange, or which will be so traded when issued or exchanged in connection with the Fundamental Change, and as a result of such transaction or transactions the Securities become convertible solely into such securities. In connection with an applicable Fundamental Change, we will increase the Conversion Rate by the number of Additional Common Shares (the "Additional Common Shares") as determined by reference to the table below, based on the date on which the Fundamental Change occurs or becomes effective (the "Effective Date"), and the price paid per Common Share, translated, if necessary, into U.S. dollars at the exchange rate in effect on such, in the Fundamental Change (the "Common Share Price").   • Notice of Conversion Rate Adjustments Upon the effectiveness of any adjustment to the Conversion Rate pursuant to Section 5.05(A), the Company will promptly send notice to the Holders, the Trustee and the Conversion Agent containing (i) a brief description of the transaction or other event on account of which such adjustment was made; (ii) the Conversion Rate in effect immediately after such adjustment; and (iii) the effective time of such adjustment.
