Xxxxxxx Operating definition

Xxxxxxx Operating is defined in the preamble.
Xxxxxxx Operating means Xxxxxxx Operating Company, LLC, a Delaware limited liability company and a wholly owned subsidiary of the GP.
Xxxxxxx Operating means Xxxxxxx Operating Resources LLC, a Delaware limited liability company.

  • The Manager and Xxxxxxx Operating agree to negotiate in good faith to determine the proposed Services Fee to be utilized during the next succeeding period, which Services Fee shall represent a reasonable allocation of all projected costs and expenses to be incurred by the Manager in providing such Services to Xxxxxxx Operating.

  • For the avoidance of doubt, in no event shall the Services Fee include any Tax passed on to Xxxxxxx Operating pursuant to Section 3.4 hereof.

  • Xxxxxxx Operating shall bear all costs and expenses incurred by the Manager in complying with any such request, including with respect to any inspection, examination or audit performed on the Partnership Group pursuant to this Article VII and including the reasonable fees and expenses of any legal counsel or financial or accounting, professional engaged by the Manager.

  • If Xxxxxxx Operating submits to the Manager a timely and valid resale or other exemption certificate reasonably acceptable to the Manager and sufficient to support the exemption from Tax, then such Tax will not be added to the fee pursuant to Section 3.1; provided, however, that if the Manager is ever required to pay such Tax, Xxxxxxx Operating will promptly reimburse the Manager for such Tax, including any interest, penalties and attorney’s fees related thereto.

  • The Manager and Xxxxxxx Operating shall cooperate with one another and provide such further assistance as the other Party may reasonably request in connection with the provision of Services hereunder.

  • The Manager will make available its relevant books and records and use commercially reasonable efforts to assist Xxxxxxx Operating in conducting such review or audit.

  • It is the intent of the Parties that with respect to performing the Services hereunder, the Manager is an independent contractor, and shall provide the Services in accordance with the reasonable instructions provided by authorized representatives of Xxxxxxx Operating, subject to the provisions of this Agreement.

  • Farm operation means any activity conducted solely or primarily for the production of one or more agricultural products or commodities, including timber, for sale or home use, and customarily producing such products or commodities in sufficient quantity to be capable of contributing materially to the operator's support.

  • Railway Operation means the construction and operation under this Agreement of the relevant Railway and associated access roads and Additional Infrastructure (if any) within the relevant Railway Corridor and of the associated Lateral Access Roads, in accordance with approved proposals;
