Xxxxx Holding means Grupo Xxxxx Holding S.A.C., a corporation organized and existing under the laws of the Republic of Peru. “Xxxxx Holding Acquisition” means, collectively, (a) the Acquisition by the Borrower, through its Wholly Owned Subsidiary Xxx Land I, of the remaining fifty percent (50%) of the Equity Interests of Xxxxx Holding not owned by the Borrower prior to the consummation of such Acquisition, and (b) the Acquisition by the Borrower, indirectly through a merger of Cloudesley into Xxxxx Holding, of Equity Interests constituting an additional thirty percent (30%) ownership of Moruga, in each case pursuant to the Xxxxx Holding Acquisition Agreement. “Xxxxx Holding Acquisition Agreement” means that certain Securities Purchase and Exchange Agreement (including all annexes, schedules and exhibits attached thereto), by and among the Borrower, as buyer, and Cloudesley, Xxxx Xxxxxxxxx Xxxxxxxx Xxxxxxxx, a Peruvian citizen domiciled in the Dominican Republic (“Xx. Xxxxxxxx”), Xxxxxxx del Xxxxx Xxxxxxxx Xxxxxxxx, a Peruvian citizen domiciled in Republic of Peru (“Xxx. Xxxxxxxx”), and Xxxx Xxxxxxx Xxxxxxx Xxxx, a Colombian citizen domiciled in Peru (“Xx. Xxxxxxx”), as the seller parties. “Xxxxx Holding Acquisition Subscription” means the issuance by the Borrower of its Equity Interests to the Xxxxx Holding Existing Owners pursuant to the Xxxxx Holding Acquisition Agreement. “Xxxxx Holding Existing Owners” means, collectively, Xx.
