Xencor Patents definition

Xencor Patents means all Patents Controlled by Xencor on the Effective Date or during the Term that claim or cover any Xencor Fc Domain to the extent reasonably necessary or useful to make, have made, use, sell, have sold, offer for sale or import any Compound in the Field in the Territory. The Xencor Patents as of the Effective Date are listed in Exhibit 1.32 attached hereto.

Xencor Patents means Xencor Compound-Specific Patents, Xencor CD19 Patents and/or Xencor Background Patents, as applicable, as each such term is defined below:

Xencor Patents means (a) the patent applications and patents listed in Exhibit B that relate to the […***…]; (b) all patent applications (including provisional and utility applications) to which any of the foregoing claims priority or claiming priority to or common priority with or based on any of the foregoing, including all divisionals, continuations, continuations-in-party, patents of addition and substitutions of any of the foregoing; (c) all patents issued or issuing on any of the foregoing, and all reissues, reexaminations, renewals and extensions of any of the foregoing; (d) all counterparts to the foregoing in other countries; (e) all Supplementary Protection Certifications, restoration of patent term and other similar rights of Xencor or its Affiliates based on any of the foregoing and (f) all Patents owned or controlled by Xencor or its Affiliates at any time during the Term of this Agreement that claim […***…] *** Confidential Treatment Requested

Examples of Xencor Patents in a sentence

• Xencor has shared with Amgen complete and accurate copies of all Third Party licenses and agreements pursuant to which Xencor or its Affiliates has obtained rights to Xencor Patents and Xencor Know-How.

• Xencor shall consider in good faith Xxxxx’s comments on the communications, filings and submissions for such Xencor Patents, as such Xencor Patents pertain to Compounds and Products.

• From and after the Option Exercise Date, the Prosecution and Maintenance of Xencor Patents shall be handled as set forth in Sections 8.2(a)(ii) and 8.2(b) below.

More Definitions of Xencor Patents

Xencor Patents means all Xencor Invention Patents and Xencor Background Patents, as applicable.

Xencor Patents means: (a) those Patents listed on Exhibit A hereto; and (b) any Patents Controlled by Xencor or its Affiliates during the Term that Cover any Fc Component in the Field and are listed on Exhibit A, as updated from time to time pursuant to the next sentence. Xencor shall update Exhibit A from time to time, no less frequently than annually, to the extent necessary to reflect those Patents described in clause (b).

Xencor Patents has the meaning specified in the License Agreement.

Xencor Patents means those Patents Controlled by Xencor or its Affiliates as of the Effective Date or during the Term that are reasonably necessary to Research, Develop, Commercialize or Manufacture any Collaboration Construct or Collaboration Product, including those Patents set forth in Exhibit C. Xencor Patents excludes (a) jointly owned Program Patents, (b) Patents included in Xencor Fc Patents, (c) Patents within Xencor Core Inventions, and (d) Patents that cover Fv Domains other than those specific to a Research Target.

Xencor Patents means those Patents listed on Exhibit A-2 and those Patents Controlled by Xencor or its Affiliates as of, the Effective Date or during the applicable Invention Period that are reasonably necessary to Research, Develop, Commercialize or Manufacture any Licensed Antibody (other than an Fc Licensed Antibody) or Licensed Product (other than an Fc Licensed Product) in the Field, including for clarity, RLP Patents. Xencor Patents excludes Patents included in Fc Patents, Xencor Collaboration IP and Xencor’s interest in Joint Collaboration IP, and excludes Patents that cover Fv Regions other than CD3, CD20 or CD123.
