Withdrawing Party definition

Withdrawing Party has the meaning set forth in Section 13.1(e).
Withdrawing Party shall have the meaning set forth in Section 4.1 hereto.
Withdrawing Party means an Other Institution that either (a) notifies the other Party(ies) that it elects to not pay or to discontinue paying all or some portion of its future Share of Patent Expenses in accordance with Sections 2.2, 4.1(b) or 4.1(c), including declining to pay expenses in excess of the Patent Expense Notice Level set forth in the Transaction Terms, or (b) defaults in its obligation to pay its Share of Patent Expenses and does not cure such default within 30 days of written notice of the default.

Examples of Withdrawing Party in a sentence

  • Notwithstanding anything to the contrary in this Agreement, including Section 5 below, in the event that a Withdrawing Party withdraws from the Consortium in accordance with this Section 2, the remaining Party shall have the full right to proceed with any or all aspects of the Transaction with or without any third party or parties, and on such terms, as such remaining Party may determine.
