VTTI Operating definition

VTTI Operating is defined in the preamble.
VTTI Operating means VTTI MLP B.V., a company incorporated in the Netherlands, and any successors thereto.
VTTI Operating has the meaning set forth in the recitals. “VTTI Operating Charter” means the Articles of Association of VTTI Operating, dated as of June 17, 2014. “VTTI Operating Entities” means VTTI Operating, the Holding Companies and the Operating Companies and their respective subsidiaries. “VTTI Operating Revolving Credit Facility” means that certain facility agreement, dated as of June 26, 2014, among VTTI Operating, Coöperatieve Centrale Raiffeisen- Boerenleenbank B.A. trading as Rabobank International, as agent, The Bank of Tokyo- Mitsubishi UFJ, Ltd., Labuan Branch, BNP Paribas, Coöperatieve Centrale Raiffeisen- Boerenleenbank B.A. trading as Rabobank International, The Hong Kong and Shanghai Banking Corporation Limited, ING Bank N.V., Oversea Chinese Banking Corporation Limited, London Branch, Société and Sumitomo Mitsui Banking Corporation, Singapore Branch, as Joint Lead Arrangers, and the lenders party thereto.

Examples of VTTI Operating in a sentence

  • As per the execution of the Deed of Transfer whereby the First Partnership Contribution is effectuated, the Partnership is admitted to VTTI Operating as a shareholder of VTTI Operating and agrees that it is bound by the VTTI Operating Charter as a shareholder of VTTI Operating, and VTTI Operating continues without dissolution with the Partnership as a shareholder.

  • As per the execution of the Deed of Transfer whereby this contribution is effectuated, (i) VTTI Holdings is admitted as a shareholder of VTTI Operating and agrees that it is bound by the VTTI Operating Charter, (ii) the Partnership ceases to be a shareholder of VTTI Operating, and (iii) VTTI Operating continues without dissolution with VTTI Holdings as a shareholder.

  • If VTTI fails to make the payments contemplated by Section 5.1 within 15 days after the end of each calendar month, then Vitol and MISC, jointly and severally, agree to pay the VTTI Guarantee Amount to VTTI Operating no later than the second business day after such failure to pay.

  • Each of VTTI, the Partnership and VTTI Operating agree that the transfer of the Subject Assets shall take place as promptly as reasonably practicable after the Closing Date.

  • VTTI Operating has been duly incorporated and is validly existing as a private limited liability company under Dutch law.

  • Except for Evercore Group L.L.C., the fees and expenses of which will be paid by VTTI Holdings, neither VTTI Holdings nor any of its Affiliates has incurred any liability, contingent or otherwise, for any brokerage fee, commission or financial advisory fee in connection with the transactions contemplated by this Agreement for which Sponsor or VTTI Operating or any of their respective Affiliates will be liable.

  • Sponsor is not in breach or default under the terms of the VTTI Operating Charter.

  • Following the completion of the Acquisition, the Partnership indirectly owns a total economic interest of 51.0% and a 51.0% indirect voting interest in VTTI Operating.

  • Operating or "Operation" means to provide (or the provision of) all the operation, engineering, purchasing, repair, supervision, training, inspection, testing, protection, use, management, improvement, replacement, refurbishment, retirement, and maintenance activities associated with operating the Generating Facility in accordance with Prudent Electrical Practices.

  • Farm operation means any activity conducted solely or primarily for the production of one or more agricultural products or commodities, including timber, for sale or home use, and customarily producing such products or commodities in sufficient quantity to be capable of contributing materially to the operator's support.

  • Railway Operation means the construction and operation under this Agreement of the relevant Railway and associated access roads and Additional Infrastructure (if any) within the relevant Railway Corridor and of the associated Lateral Access Roads, in accordance with approved proposals;

  • Production Operations means all operations conducted for the purpose of producing Petroleum from the Development Area after the commencement of production from the Development Area including the operation and maintenance of all necessary facilities therefor.

  • Business operations means engaging in commerce in any form, including by acquiring, developing, maintaining, owning, selling, possessing, leasing, or operating equipment, facilities, personnel, products, services, personal property, real property, or any other apparatus of business or commerce.

  • Operating Area means those areas on-shore in India in which company or its affiliated company may from time to time be entitled to execute such services/operations.

  • Supplier Operations means all assets, processes and systems (including information systems), data (including Customer data), personnel, and sites, used or processed by Supplier from time to time in the performance of this Agreement.

  • Initial Operation means the first integral operation of the complete equipment covered under the Contract with the sub-system and supporting equipment in service or available for service.

  • PJM Operating Agreement means the Amended and Restated Operating Agreement of PJM or the successor, superseding or amended versions of the Amended and Restated Operating Agreement that may take effect from time to time.

  • Drilling operations means the drilling of an oil and gas well and the production and completion operations ensuing from the drilling which require entry upon the surface estate and which were commenced after June 30, 1979, and oil and gas geophysical and seismograph exploration activities commenced after June 30, 1983.

  • Branch operations means any business operations of a branch captive insurance company in this State.

  • Base Operating Costs means Operating Costs for the calendar year specified as the Base Year in the Basic Lease Information (excluding therefrom, however, any Operating Costs of a nature that would not ordinarily be incurred on an annual, recurring basis).

  • Normal operation means all periods of operation except start-up and shutdown operations and maintenance of equipment;

  • Unit operating hour or "hour of unit operation" means an hour in which a unit combusts any fuel.
